The Cardano Foundation has spun out its long-term digital identity project, Veridian, into a standalone commercial entity that immediately tokenized its own shares on the Cardano blockchain. Announced on October 8, 2026, the move establishes Veridian as the first company to use Cardano’s newly launched programmable token standard, CIP-0113, for on-chain equity.

This strategic move by the Cardano Foundation spins Veridian into a new era of institutional tokenization.

Now operating as an independent Swiss company, Veridian will be led by CEO Thomas A. Mayfield, a blockchain engineer who previously headed decentralized identity solutions at the foundation. The new firm has tokenized most of its one million shares. Cardano Foundation CEO Frederik Gregaard will serve as Veridian’s chair, guiding its new commercial direction.

How the Cardano Foundation spins out a new standard for regulated assets

The spin-out is more than a corporate restructuring; it serves as the inaugural use case for a critical piece of new infrastructure for the Cardano network. The foundation had just announced the CIP-0113 standard at the TOKEN2049 conference in Singapore on October 7, 2026. These new token controls for institutions are designed to meet the stringent demands of regulated financial products.

This programmable-token framework allows issuers to embed rules directly into the assets themselves. These rules can dictate who is eligible to hold or receive a token, and crucially, provide mechanisms to freeze, seize, or force-transfer assets when required by court orders or sanctions controls. Such features have long been a prerequisite for bringing securities and other regulated financial instruments onto public blockchains.

“Regulators have been clear about what tokenised financial assets need,” stated Frederik Gregaard. “The rules have to travel with the asset and be enforced every time it moves. Cardano can now do that natively, and we believe the way we do it is unique.” The implementation is a significant step in Cardano’s push for enterprise and institutional adoption.

According to Giovanni Gargiulo, a Senior Blockchain Architect at the Cardano Foundation, the standard leverages the network’s extended UTXO (EUTXO) ledger model. “On Cardano, a programmable token is still a native asset, so the whole ecosystem can work with it, while the issuer’s rules are checked by the ledger on every transaction,” he explained.

This design avoids the need for a hard fork and allows issuers to update rules as regulations evolve without altering the core protocol, ensuring predictable costs.

Veridian becomes its own commercial entity

After three years of incubation within the non-profit Cardano Foundation, Veridian is now positioned to pursue its own commercial strategy. The separation gives it a clear governance structure and the ability to seek external financing, with plans to court strategic investors starting in 2027. The move signals a maturation of the project from a research initiative to a market-ready enterprise.

“We spent three years building that inside the Cardano Foundation,” said Veridian CEO Thomas A. Mayfield. “As an independent company, we can now take it to the governments and enterprises that need it.” The company’s board will include Nicolas Jacquemart, the Cardano Foundation’s Chief Legal Officer, ensuring continued alignment.

The tokenization of Veridian’s own shares serves as a powerful, real-world demonstration of the new standard. Registered as ledger-based securities under Switzerland’s DLT Act, most of its one million shares represent a tangible example of on-chain equity. This moves the conversation from theoretical possibilities to practical application.

“People have talked about tokenized equity for years, and now there’s an operating company on Cardano doing it,” Gregaard commented, highlighting the milestone. Their existence on the ledger provides a blueprint for other companies looking to tokenize their assets on Cardano.

The technology powering decentralized identity

At its core, Veridian is an identity platform built on open technical standards, primarily KERI (Key Event Receipt Infrastructure) and ACDC (Authentic Chained Data Containers). This technology allows individuals, companies, and even automated software agents to prove their identity and authority cryptographically, without relying on a centralized database that could be a single point of failure or control.

The platform isn’t just a concept; its wallet is already live on both iOS and Android. The foundation first launched Veridian as an open-source project in April 2025, giving developers time to engage with the technology before this commercial spin-out. This phased rollout has helped build a foundation for its enterprise-focused future.

Veridian has also done the painstaking work of aligning its solution with real-world regulatory frameworks. It has successfully mapped all 142 requirements of Utah’s State Endorsed Digital Identity Program (SB 275), which took effect in May. This proactive compliance work demonstrates a clear strategy for adoption by U.S. state governments.

The technology is already seeing use in emerging fields like artificial intelligence. Masumi, an AI agent payment and identity network on Cardano, already uses Veridian. It gives AI agents a verifiable identity, allowing a counterparty to check its credentials before processing a payment and, critically, to revoke its authority if the agent is compromised.

“AI agents will need verifiable identity too,” Gregaard said. “Veridian can serve that market better as its own company.”

Strategic implications and future roadmap

The launch of both CIP-0113 and Veridian represents a significant strategic pivot for the Cardano ecosystem. It is a clear and direct overture to institutions, regulators, and enterprises, signaling that the platform is ready for the world of tokenized real-world assets (RWAs). This positions Cardano to compete more directly with other blockchains focused on this high-value sector.

Veridian’s roadmap for 2027 underscores this ambition. The company plans to seek strategic investment to fund a multi-pronged expansion. This includes targeting U.S. state governments, building out its European enterprise business, and establishing an Asia-Pacific issuer network. The firm also intends to further develop verifiable authority for AI agents, a nascent but potentially enormous market.

This dual launch provides a compelling narrative for the ecosystem. The CIP-0113 standard offers the compliant infrastructure, while Veridian provides the first live example of a company using it for its own corporate structure. This creates a template that other enterprises can follow, potentially lowering the barrier to entry for tokenizing assets on the network and creating a flywheel effect for adoption.

Ultimately, this development could contribute to the ecosystem’s growth and its recent positive momentum. By demonstrating tangible progress on enterprise-grade solutions, the Cardano Foundation is making a strong case for the platform’s long-term utility beyond speculative trading. The success of Veridian could become a key barometer for Cardano’s ability to capture a meaningful share of the tokenized asset market.
