SkyAI liquidates all of its Solana (SOL) holdings, formerly known as Sharps Technology Inc., as part of a dramatic corporate treasury strategy shift. (Nasdaq: SKYA), formerly known as Sharps Technology Inc., has dramatically reshaped its corporate treasury strategy, completely divesting its substantial Solana (SOL) holdings. This move means SkyAI liquidates all its Solana holdings, marking a significant shift in its financial approach.

The company announced on October 19, 2026, it would launch a cash tender offer worth up to $201.3 million, intending to repurchase as much as 95% of its outstanding shares and warrants.

SkyAI liquidates all Solana from treasury

This move was confirmed by the full liquidation of its Solana assets as of October 16, marking a swift departure from its previous identity as a significant holder of the SOL cryptocurrency.

SkyAI’s transition from a company with notable Solana holdings to one holding zero SOL has been remarkably rapid. Just over a month prior, on September 14, 2026, the company reaffirmed its commitment to its Solana treasury strategy, reporting holdings of more than 2 million SOL. This made SkyAI a substantial holder of the cryptocurrency.

However, a series of sales starting in early October saw its SOL stash quickly diminish. Initially, approximately 1 million SOL were sold, followed by further liquidations that reduced its balance to roughly 600,000 SOL by October 14. By October 16, 2026, SkyAI had entirely completed the sale of all its SOL, and the company held approximately $223.8 million in cash.

The company’s prior investment in Solana had yielded some benefits, including over $12 million in staking revenue by mid-2026. However, the average accounting cost of its SOL holdings as of June 30 stood at approximately $190.44 per SOL.

The average selling price for a significant portion of its SOL, prior to an October 14 update, was reported at $107.51 per SOL, net of fees. This indicates that a substantial portion of the sale occurred at a price considerably below its historical cost basis, highlighting the volatility of crypto assets.

Solana price valuation remains a complex issue for many institutional holders.

The $201 Million Buyback Initiative

The primary driver behind SkyAI’s complete Solana divestiture is its ambitious cash tender offer. The company aims to repurchase up to 95% of its outstanding common stock and warrants, with a total value potentially reaching $201.3 million. This offer is priced at $3.00 per share or warrant.

The tender offer commenced on October 16, 2026, and is set to expire just after 11:59 p.m. New York City time on October 29, 2026, unless it’s extended or terminated earlier. Funding for this significant buyback will come entirely from SkyAI’s existing cash reserves, eliminating the need for any additional borrowing.

This strategic move aims to return value directly to shareholders and reshape the company’s financial structure.

The offer covers up to 48,311,489 shares of common stock, alongside 4,880,734 cash pre-funded warrants, 9,939,850 cryptocurrency pre-funded warrants, and 3,955,293 strategic warrants. Each class of securities has its own independent condition requiring at least 50% to be tendered for the offer to proceed.

Notably, SkyAI removed a previous condition that tied the offer to Solana remaining above $100, a logical step given its current zero-SOL position.

Investor Dissension Over Terms

Not all shareholders are on board with SkyAI’s buyback terms, with activist investor Bastion Trading emerging as a vocal critic. Bastion Trading, which holds nearly 10% of SkyAI, publicly opposed the proposed conditions and stated it would not participate in the buyback. The investment firm called for an independent review of SkyAI’s Solana sales, raising concerns about the timing and specifics of the liquidations.

This shareholder opposition highlights internal tensions regarding the company’s abrupt shift in strategy and the perceived fairness of the tender offer. The dispute underscores the complexities that can arise when a company makes such significant and rapid changes to its asset allocation and shareholder return programs. Solana uptime and risks can be a factor for large investors assessing their holdings.

Reversal of Crypto Strategy

SkyAI’s complete divestment from Solana represents a profound reversal of its previously stated cryptocurrency investment strategy. Only a month prior, the company articulated a strong commitment to its Solana treasury. This sudden change, moving from over 2 million SOL to zero in just weeks, signals a rapid re-evaluation of its financial priorities and risk appetite in the volatile crypto market.

The decision to liquidate its SOL holdings, especially given the reported average selling price of $107.51 against a historical accounting cost of $190.44, implies a significant loss on those particular assets for the company.

This suggests that the overriding goal was to generate immediate cash for the buyback, even at the expense of realizing losses on its crypto investments. Such a strategic pivot often indicates a desire to de-risk the balance sheet and focus on more traditional financial structures or core business development.

Future of SkyAI’s Blockchain Vision

Despite exiting its Solana treasury, SkyAI hasn’t abandoned its ambitions in the blockchain space entirely. The company still plans a financial platform combining Solana stablecoin payments with AI.

However, Monday’s announcement did not clarify whether SkyAI plans to rebuild its SOL treasury in the future or provide any specific updates on the development of this platform. The firm intends to maintain its listing on the Nasdaq Capital Market post-buyback, signaling a commitment to its public market presence.

The lack of immediate detail on its future crypto involvement, coupled with the complete liquidation of its treasury, raises questions about the long-term feasibility or exact nature of its stated Solana and AI platform.

It’s possible the company aims to utilize the Solana blockchain for its platform without directly holding large amounts of the native token, perhaps focusing on stablecoin integrations. This approach would reduce direct exposure to SOL’s price volatility while still leveraging the network’s capabilities and aiming for Solana’s network efficiency.

Market Reaction and Broader Implications

The financial markets have reacted to SkyAI’s announcements. Shares of SkyAI (SKYA) saw a 4.5% increase on October 19, 2026, closing at $2.77. This rise contributes to a year-to-date gain of 35% for the stock.

The positive market response suggests that investors may view the buyback and the shift to an all-cash balance sheet as a favorable move, potentially reducing perceived risk or improving shareholder value through direct returns.

This event could prompt other companies with significant crypto treasuries to re-evaluate their own strategies, especially concerning volatile assets like Solana. The decision by SkyAI highlights a growing trend among some corporate entities to either de-risk their balance sheets or restructure capital to prioritize shareholder returns in different forms.

For a company to completely abandon a previously stated core treasury strategy is a bold move, and its implications will be closely watched by investors across the crypto and traditional finance sectors.

The broader implications for the Solana ecosystem from this corporate divestment are also worth considering. While one company’s treasury sale might not significantly impact Solana’s overall market capitalization, it does remove a large institutional holder. This could influence sentiment among other corporate treasuries contemplating Solana as a long-term store of value or operational asset.

Potential Impact on Solana’s Institutional Perception

SkyAI’s move signals caution from at least one institutional player regarding direct exposure to volatile cryptocurrencies, even while expressing interest in the underlying blockchain technology. For Solana, this means one less corporate advocate directly tied to its token’s success.

However, it doesn’t necessarily reflect negatively on the Solana network’s technological merits or its potential for future development and adoption. Many companies may choose to build on Solana without holding SOL as a primary treasury asset.

The company’s stated goal of combining stablecoin payments on Solana with AI suggests a continued belief in the network’s utility for specific financial applications. The focus shifts from speculative asset holding to practical application of the blockchain’s features.

This distinction is crucial for understanding how institutional entities might engage with cryptocurrencies and blockchain technologies moving forward, distinguishing between direct investment in native tokens and leveraging the underlying infrastructure. This large-scale capital reallocation by SkyAI underscores the dynamic nature of corporate strategies within the crypto sector.

As the industry matures, firms are continually adjusting their approaches to digital assets, balancing growth opportunities with risk management and shareholder expectations. The next steps for SkyAI, particularly regarding its proposed financial platform, will be key to understanding the long-term success of this dramatic pivot.
